Welcome to Prime Headshots! These terms and conditions outline the rules and regulations for the use of our website and services. Prime Headshots is a brand name owned and operated by the company Atlantic Media.

1. Acceptance of Terms

By accessing this website or using our services, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.

2. Services

Prime Headshots provides AI-generated professional headshots based on user-uploaded photos. We act as a vendor for these services. Payment processing is handled by our Merchant of Record, Dodo Payments. By purchasing our services, you agree to Dodo Payments' terms and conditions as well as ours.

3. Account Registration

You may create an account using Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 16 years of age to use our services.

4. User Content & License

By uploading photos to our service, you grant Prime Headshots a limited, non-exclusive, worldwide license to process your photos solely for the purpose of generating AI headshots. Specifically:

• Your uploaded photos are processed temporarily and deleted within 24 hours of generation completion.
• We do not use your photos for training AI models, marketing, or any purpose other than generating your requested headshots.
• You retain all rights to your original photos and generated headshots.
• You represent that you have the legal right to upload the photos and that they do not infringe on any third party's rights.

5. Intellectual Property

Unless otherwise stated, Atlantic Media and/or its licensors own the intellectual property rights for all website design, brand materials, and technology on Prime Headshots. The generated headshots are licensed to you for personal and commercial use without restriction.

6. Enterprise & Team Accounts

Team and enterprise features are subject to additional terms:

• Organization administrators are responsible for managing member access and permissions.
• Seat purchases are non-refundable once provisioned, except as outlined in our Refund Policy.
• Brand assets uploaded to team accounts remain the property of the organization.
• When a member is removed from an organization, their headshots generated under that org may be retained by the organization administrator.

7. Data Processing & Privacy

Your use of our services is also governed by our Privacy Policy, which details how we collect, use, and protect your data. Key points:

• We use cookies only with your explicit consent (except strictly necessary cookies).
• You may request data export or account deletion at any time via your Account & Privacy page.
• For GDPR and CCPA rights, see our Privacy Policy sections 6 and 7.
• We do not sell your personal data to third parties.

8. Acceptable Use

You agree not to:

• Upload photos of individuals without their consent.
• Use the service to generate inappropriate, offensive, or illegal content.
• Attempt to reverse-engineer, decompile, or extract our AI models or proprietary technology.
• Use automated scripts, bots, or scrapers to access the service.
• Impersonate another person or create headshots for fraudulent purposes.
• Violate any applicable laws or regulations.

9. Refund Policy

Please refer to our separate Refund Policy for details on how refunds are handled. Generally, we offer partial or full refunds within 24 hours if results are unsatisfactory, subject to review. Refund processing is handled through Dodo Payments.

10. Limitation of Liability

To the fullest extent permitted by law, Prime Headshots and Atlantic Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability is limited to the amount you paid for the services in the 12 months preceding the claim.

11. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, quality, or suitability of AI-generated headshots. Results may vary based on photo quality, lighting, and other factors.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the service ceases immediately. You may delete your account at any time via your Account & Privacy page.

13. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location. For users in the European Union, nothing in these terms affects your rights under mandatory consumer protection laws of your country of residence.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of the service after changes constitutes acceptance of the updated terms.
